Hair and beauty brand Cloud Nine has secured combined £19m term and revolving credit facilities from HSBC to support the implementation of its strategic growth priorities.

The Harrogate-based retailer was advised on the deal by long-term law firm partner Gordons which has worked with the company for more than eight years. It is the first significant funding transaction that Cloud Nine has undertaken since being founded in 2009.

A Gordons team led by banking partner Ben Roden, supported by banking lawyer Gresa Bakolli, corporate partner James Fawcett and corporate lawyer Lisa Murphy, acted on behalf of Cloud Nine.

The retailer has a reputation for product innovation, creating premium products which ensure users never have to compromise on their hair’s health or style. For the 15 months to 31 March 2025, the company’s turnover was £43.8m.

Commenting on securing the funding and working with Gordons, Cloud Nine’s non-executive chairman, Martin Rae, said: “This funding package marks an important milestone for Cloud Nine as we continue to invest in delivering high quality, temperature-controlled products for our customers around the world.

“The team at Gordons have a deep understanding of our business across multiple areas and the pace at which we like to operate. Their support has been instrumental in delivering this transaction ahead of schedule, and we are delighted with the outcome.”

In addition to banking and corporate advice, Gordons provides Cloud Nine with a range of legal services. These include negotiating high-profile commercial agreements and advising on regulatory matters.

Gordons’ Ben Roden said: “Whilst Cloud Nine has been a client of the firm for many years, this is the first time that we have had the opportunity to assist them with a major funding transaction.

“It’s been great to work closely with the founders, Cloud Nine’s own finance team and HSBC locally to help them secure the right funding package for their international business, to further propel Cloud Nine as it enters the next phase of its journey.

“We are privileged to continue to be a trusted adviser to the company and to be able to support the business in these new areas.”

The transaction also involved Australian elements, on which Cloud Nine was assisted by law firm Mills Oakley out of its Melbourne office.

Gordons is a retail specialist and its other clients in the sector include AO, Abbott Lyon, Iceland Foods, Morrisons, Moss, Oak Furnitureland, Ocado and Wren Kitchens.

Stephen Smith, senior relationship director at HSBC UK, said: “Cloud Nine is entering an exciting stage of growth, which is why it’s fantastic to support this investment. The business has demonstrated impressive progress since its launch and continues to build a strong presence in the industry. We look forward to them achieving long-term success.”
