A Gordons team has advised a global medical device distributor on its reverse takeover by an AIM-listed heating solutions provider.

A team led by corporate partner Jonathan Asquez and consultant Peter Barton, including tax solicitor Julian Moran, advised the shareholders of Leicester-based Inspiration Healthcare on its acquisition by Inditherm plc, whose headquarters are in Rotherham.

Inspiration was founded in 2003 and distributes products for critical care, specialised surgical procedures and parental feeding in the UK and Republic of Ireland. It also has a range of own-brand products, focused on critical care, sold in over 50 countries, and a technical support business maintaining and repairing medical equipment.

Inditherm was formed in 1998 to exploit its innovative and flexible heating technology and is a major supplier to the NHS. It is active in markets such as neonatal, perioperative, delivery suites, emergency rooms, military, physiotherapy, chemotherapy and veterinary.

Shares in the enlarged entity, Inspiration Healthcare Group plc, are now trading on AIM.

Jonathan Asquez said: “This deal again illustrated our ability to advise on a range of corporate transactions. We wish the enlarged group every success and will watch its progress with great interest.”
